My Dog’s Got Talent Contest
OFFICIAL CONTEST RULES
July 23, 2009 – September 30, 2009

1. NO PURCHASE NECESSARY. TO ENTER the MY DOG’S GOT TALENT CONTEST (the “Contest”) simply visit the website located at www.mydogsgottalent.ca (the “Contest Website”) during the Contest Period (as hereinafter defined) click on the Contest page and complete and submit your entry by following the instructions found on the Contest Website. Contest starts at 8:00 p.m. Eastern Time ("ET") on Thursday, July 23, 2009 and closes on Wednesday, September 30, 2009 at 7:59:59 p.m. ET (the “Contest Period”). Take a video (which meets the requirements of these official Contest rules) of your dog doing something funny, interesting or just plain weird (see Rule 6 below for entry judging criteria). Upload your video to the Contest Website following all online instructions, and encourage as many people as possible to visit the Contest Website to view your talented dog online. Every unique view of your video (captured through online tracking via Autohound Media Solutions Limited) during the Contest Period will be considered a “Vote” for your entry (see Rule 6 below for selection of winning entry). All entries must include your first and last name, address, email address, age, ten digit day time and evening telephone number, and a video, in .MWV, AVI, 3GP, MOV, MP4, MPEG, FLV, MKV or SWF format, depicting your dog doing interesting, funny or weird. Video may be taken in any appropriate setting. Limit of one (1) entry per individual and per email address and entrants may use only one e-mail address for entry purposes. Illegible or incomplete entries are ineligible. Without limiting anything contained herein, the Contest Sponsor reserve the right, in its sole and absolute discretion, to modify, edit or remove any video submission, or to request an entrant to modify or edit his/her video submission, if a complaint is received with respect to such video submission, or to ensure compliance with these official Contest rules (the “Rules” or “Contest Rules”), or for any other reason. In the event of a dispute regarding who is the “entrant” responsible for submitting any entry, the entry shall be deemed to be submitted by the "Authorized Account Holder" of the email address submitted at the time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an internet access provider, on-line service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. There is one (1) grand prize available to be won. Void where prohibited.

Submission Guidelines: Each video must be no longer than 3 (three) minutes in length, must be in .MWV, AVI, 3GP, MOV, MP4, MPEG, FLV, MKV or SWF format and cannot exceed 10 MB in size. You must have shot the video that you submit or have the express written consent of the videographer to submit the video for the Contest and for display of the video by the Contest Sponsor online and the videographer agrees, in form satisfactory to the Contest Sponsor, to be bound by these Rules including without limitation granting the Contest Sponsor a perpetual, worldwide, non-exclusive, royalty free licence to display, reproduce and otherwise use the video in any media. The video must be recent and a true likeness of your dog. No person other than the entrant and/or his/ her dog may appear in the video unless such person has expressly consented in writing to have his/her image depicted in the video and to have the video displayed online by the Contest Sponsor as contemplated in these Rules. Videos taken by professional videographers are permitted provided you have the consent for the video to be submitted. You must ensure that no third party logos, trade-marks or other material which may be the subject of copyright owned by any person other than the entrant appear in your videos. Entries not complying with these Contest Rules will be disqualified.

2. The contest sponsor is Autohound Media Solutions Limited (hereinafter referred to as the “Contest Sponsor”).

3. To enter and to be eligible to win, entrant must be a legal resident of Canada (excluding Quebec) who has reached the age of majority in his her/province or territory of residence at time of entry. Employees and their parents, siblings and children, and persons domiciled with an employee of the Contest Sponsor, its agents, parent, affiliated or related companies, subsidiaries, divisions, prize sponsors, and promotional and advertising agencies and administrators, are ineligible to enter. A winner of an Autohound Media Solutions Limited contest within the three (3) months preceding the start of this Contest (including persons designated by such winners to take ownership of prizes) and persons domiciled with such a winner are not eligible to enter.

4. Prize - There is one (1) Prize consisting of a $ 20,000.00 Autohound Gift Certificate, valid until December 31, 2009. The certificate can only be used towards the purchase of a used vehicle that has been featured (is currently available, not valid if already sold) on the Autohound.ca website. Grand Prize winner is solely responsible for all costs not expressly described herein including, without limitation, transportation to and from the dealership, applicable taxes, registration, insurance, fuel/currency surcharges, and all personal expenses of any kind or nature. It is the sole responsibility of the Grand Prize winner to arrange insurance, licensing and to obtain all necessary documentation applicable to the purchase of a vehicle in Canada. Vehicle purchase must take place on or before December 31, 2009. Approximate retail value of the Grand Prize is $20,000.00.

5. Prize must be accepted as awarded. The Prize may not be sold, transferred and is not convertible to cash. Contest Sponsor reserves the right to substitute the Prize in whole or in part for a prize of equal or greater approximate retail value, in its sole discretion. Prize winner is solely responsible for all costs not expressly described herein.

6. Videos submitted in accordance with these Rules will posted online for public viewing on the Contest Website. Every unique view of your video (captured during through online tracking via Autohound Media Solutions Limited) during the Contest Period will be considered a “Vote” for your video entry (see Rule 6 below for selection of winning entry). Each IP address will be limited to one “vote” per video entry during the Contest Period and the use of any automated, script macro or robotic program to submit votes will result in the disqualification of all such improperly submitted votes and may, in the sole and absolute discretion of the Contest Sponsor, also result in the disqualification of the video entry to which such “votes” relate. The 10 entries which receive the most “votes” during the Contest Period will be determined, by the Contest Sponsor, on or after Friday October 2, 2009 at approximately 2:00 p.m., to be the “Grand Prize Finalists”. On or before Friday, October 9, 2009 (the “Contest Judging Date”), the Contest judges, who may be employees or independent contractors of the Contest Sponsor or its advertising or promotional agencies, will judge the entries of the Grand Prize Finalists, on the basis of the skill of the entrant in selecting, and videotaping, the entry, having regard to such criteria as originality, uniqueness, creativity, ingenuity and overall appeal, and one (1) entry will chosen by the Contest judges on the basis of such criteria as the Grand Prize winning entry, subject to compliance with these Rules. Attempts will be made by the Contest Sponsor or its representatives to contact, by e-mail or telephone, the entrant whose entry has been so selected by the Contest judges, for a period of ten (10) days following the Contest Judging Date. In the event that the selected entrant cannot be contacted, or fails to respond to such contact, or otherwise fails to meet the requirements of these Contest Rules, the Contest Sponsor reserves the right to disqualify such selected entrant, in which event, the Contest judges will select an alternative potential Grand Prize winner, on the basis of the above-noted criteria, whom the Contest Sponsor or its representatives will attempt to contact, and who will be subject to disqualification, within a period of a further ten (10) days, in the same manner. Entries remain the property of the entrant, however by entering, each entrant grants the Contest Sponsor a perpetual, worldwide, non-exclusive, royalty free licence to display, reproduce and otherwise use the video in any form of media. Contest Sponsors assume no responsibility for, and entrant hereby agrees to indemnify and save harmless Contest Sponsor from and against any claim of alleged infringement of copyright or other intellectual property rights, defamation or infringement of the right of privacy, with respect to, or in any way arising out of the use by the Contest Sponsor of, any video submitted. The odds of an entry being selected as the potential winner will depend on the number and quality of entries received during the Contest Period and on the number of “votes” received . In order to be declared a winner, potential winner must first correctly answer, unaided, a time limited mathematical skill testing question administered by K.D. Black and Company Inc. (BLACK). Before being awarded a Prize, the potential winner will be required to sign and return within the time stipulated by the Contest Sponsor, the Contest Sponsor’s form of full release, licence and indemnity stating that he/she has read and understood these official Rules, grants all licences and consents required as contemplated herein, authorizes the Contest Sponsor to broadcast, publish and disseminate his/her name, city of residence, photograph, likeness, submission (including video), sobriquet and voice, in connection with any promotion or publicity, and/or for general news, entertainment and information purposes at no additional compensation to the potential winner beyond the awarding of or participation in the Prize, accepts the Prize as offered and releases the Contest Sponsor from any and all liability of any kind arising out of the potential winner‘s participation in this Contest and receipt and use of the Prize. In the event that the potential winner does not comply with all the provisions as contemplated in these Rules, Contest Sponsor shall have the right to disqualify potential winner and select an alternate potential winner and the Contest Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard. The provisions and procedures referred to above relating to selection and notification of a potential winner if applicable, shall be applied, with the necessary amendments, until a qualified winner has been duly selected.

7. By entering this Contest the entrants and participants automatically agree to accept and abide by these Rules. All decisions of the Contest Sponsor with respect to any aspect of this Contest, including without limitation the eligibility and/or disqualification of entries, are final and binding on all entrants in all matters as they relate to this Contest. Entries that are not original compositions of the entrant or that, in the opinion of the Contest Sponsor, in its sole and absolute discretion, are illegal, defamatory, obscene, or discriminate based on grounds set out in Human Rights codes or other applicable legislation are subject to disqualification by the Contest Sponsor.

By submitting a video entry, each entrant agrees to the Contest Rules including all conditions stated therein. The Contest Sponsor and those associated with it will bear no legal liability, expressed or implied, regarding the use of any entries by the Contest Sponsor and THE CONTEST SPONSOR SHALL BE HELD HARMLESS BY ALL ENTRANTS IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT THE ENTRANT HAS DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE OFFICIAL CONTEST RULES.

8. Contest Sponsor assumes no responsibility for garbled, lost, late, delayed, destroyed or misdirected entries, mail, voice messages, e-mail or any computer errors or malfunctions. No correspondence will be entered into except with entrants requesting a copy of these Rules by mail or requesting names of the prize winner (for which a self-addressed, postage paid envelope must be included). Contest Sponsor does not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, seeding or printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, software or any combination thereof. Entry materials-data that have been tampered with or altered are void. If, for any reason, in the opinion of the Contest Sponsor, in its sole and absolute discretion, the Contest is not capable of running as originally planned, or if the administration, security, fairness, integrity or the proper conduct of the Contest is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond its control, Contest Sponsor reserves its right to cancel, terminate, modify, amend, extend or suspend the Contest, and select a winner from previously received eligible entries. Contest Sponsor reserves its right to modify the Rules without materially affecting the terms and conditions hereof. The Contest Sponsor reserves its right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Rules or otherwise in a disruptive manner. Any attempts to deliberately damage the Contest Website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws and should such an attempt be made the Contest Sponsor reserves its right to seek remedies and damages to the fullest extent of the law. Contest Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the Contest including any damage to an entrant’s computer equipment, system, software or any combination thereof, as a result of their participation in this Contest or from downloading any material from, or uploading any material to, the Contest Website.

9. Contest is subject to all applicable federal, provincial and municipal laws and regulations. By entering this Contest, each entrant consents to the collection, use and distribution of his or her personal information (information that identifies an entrant as an individual, including without limitation such as home telephone number, age and home address) by the Contest Sponsor for the purposes of implementing, administering and fulfilling this Contest. Contest Sponsor will not sell or transmit this information to third parties except for the purposes of administering this Contest or unless the entrant otherwise expressly consents. 10. In the event of any discrepancy or inconsistency between the terms and conditions of the Contest Rules and disclosures or other statements contained in any Contest related materials, including but not limited to the Contest entry form, or point of sale, television, print or online advertising, the terms and conditions of the Contest Rules shall prevail, govern and control. In the event of any discrepancy or inconsistency between the English language version and any French language version of the Contest Rules, if any, the English version shall prevail, govern and control.

11. All intellectual property, including but not limited to trade-marks, trade-names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations used by the Contest Sponsor on the Contest Website or any other Contest Sponsor website (other than an entrant’s video submission) or in advertising the Contest are owned by the Contest Sponsor and or its affiliates, as applicable. All rights are reserved. Unauthorized copying or use of any Contest Sponsor copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
